Thunder Gold upsizes private placement to C$2.15 million

Thunder Gold Corp. (TSXV: TGOL) (FSE: Z25) (OTCQB: TGOLF) increased the size of its non-brokered private placement of flow-through units to 28,666,667 units at C$0.075 per unit, raising aggregate gross proceeds of approximately C$2,150,000. The company previously announced the private placement on December 12, 2025.



Each flow-through unit consists of one common share and one-half of one common share purchase warrant. Each warrant allows the holder to purchase an additional common share at C$0.10 for 18 months from the date of issue.



The private placement is expected to close on or about December 19, 2025, subject to approval by the TSX Venture Exchange. All securities will be subject to a four-month plus one day hold period from the date of issuance.



Thunder Gold plans to use proceeds to fund its current exploration program at the Tower Mountain Gold Property, a 2,500-hectare site located in the Shebandowan Greenstone Belt, 40 kilometers west of Thunder Bay, Ontario. The funds will support Canadian exploration expenses that qualify as flow-through mining expenditures under Canada's Income Tax Act.



The company may pay finders' fees of up to 6% of gross proceeds raised to eligible finders in accordance with TSX Venture Exchange policies.



Thunder Gold is a junior exploration company focused on gold discovery in Canada. The Tower Mountain Gold Property is located adjacent to the Trans-Canada highway and encompasses the largest exposed intrusive complex in the eastern Shebandowan Greenstone Belt.
