Thunder Gold closes $2.15 million private placement of flow-through units

Thunder Gold Corp. (TSXV: TGOL) closed a private placement on December 19, raising $2.15 million in gross proceeds, according to a company statement. The offering was increased from an initial target of $2 million to accommodate investor demand.



The company issued 28,666,666 flow-through units at $0.075 per unit. Each unit consists of one common share and half a warrant, with full warrants exercisable at $0.10 per share for 18 months from issuance. The shares qualify as flow-through shares under Canadian tax regulations.



Company insiders purchased 670,000 units as part of the placement, constituting a related party transaction. Thunder Gold paid finder's fees of approximately $37,905 to parties that assisted with the offering.



All securities issued are subject to a four-month hold period under applicable securities legislation and Toronto Stock Exchange Venture policies. The securities have not been registered under U.S. securities laws.



Thunder Gold focuses on gold exploration in Canada, with its primary asset being the Tower Mountain Gold Property located 40 kilometers west of Thunder Bay, Ontario. The 2,500-hectare property surrounds an intrusive complex in the Shebandowan Greenstone Belt.
