Thunder Bridge Capital Partners V prices $261M IPO on Nasdaq
Thunder Bridge Capital Partners V, Ltd., a special purpose acquisition company (SPAC), priced its initial public offering of 26,100,000 units at $10.00 per unit, raising $261 million, according to a press release statement.
The units are set to trade on the Nasdaq Global Market under the ticker symbol NASDAQ: TBCVU beginning Aug. 13, 2026, with the offering expected to close Aug. 14, 2026. Each unit consists of one Class A ordinary share and one-third of one redeemable warrant, with each whole warrant allowing the holder to purchase one Class A ordinary share at $11.50 per share, subject to certain adjustments.
Once the units' securities begin trading separately, the Class A ordinary shares and warrants are expected to list on Nasdaq under the symbols NASDAQ: TBCV and NASDAQ: TBCVW, respectively.
The company was formed to pursue a merger, share exchange, asset acquisition, or similar business combination with one or more businesses, with a stated intention to focus on U.S.-based companies.
Cantor Fitzgerald & Co. is acting as sole book-running manager for the offering. The underwriter has been granted a 45-day option to purchase up to an additional 3,915,000 units to cover any over-allotments. The SEC declared the registration statement effective Aug. 12, 2026.
