Thumzup Media updates terms of proposed public offering
Thumzup Media Corporation (NASDAQ: TZUP) announced it has modified the terms of its previously disclosed public offering to include common stock and pre-funded warrants to purchase shares of common stock for certain investors.
The company plans to use net proceeds from the offering to explore cryptocurrency accumulation and mining equipment acquisition, along with working capital and general corporate purposes. The offering remains subject to market conditions with no assurance regarding completion, size, or final terms.
Dominari Securities LLC serves as the sole placement agent for the offering, which is being conducted under a shelf registration statement on Form S-3 filed with the U.S. Securities and Exchange Commission on May 2, 2025, and declared effective on May 30, 2025.
The offering will be made through a written prospectus, with a preliminary prospectus supplement and accompanying prospectus to be filed with the SEC and made available on the agency's website. Electronic copies will be available through Dominari Securities LLC.
Thumzup operates a platform that allows users to earn money for sharing branded content on social media. The company has expanded its treasury strategy to include various cryptocurrencies such as Bitcoin, Dogecoin, Litecoin, Solana, Ripple, Ether, and USD Coin.
The company is also developing a patent-pending Lifestyle AI Agent Marketplace designed to enhance lifestyle planning through AI-powered experiences. Its mobile application is available on both the App Store and Google Play.
