Tantech Holdings raises $6 million in private placement
Tantech Holdings Ltd. (NASDAQ: TANH) completed a private placement offering that raised $6 million in gross proceeds, according to a company statement.
The British Virgin Islands-based company entered into a securities purchase agreement on October 23, 2025, with accredited investors to sell 3,614,464 units at $1.66 per unit. Each unit includes one common share, three Series C warrants, and three Series D warrants to purchase additional common shares.
The Series C warrants allow holders to purchase up to 10,843,392 common shares at an exercise price of $1.66 per share. The Series D warrants provide the right to purchase the same number of shares at $1.83 per share. Both warrant series are exercisable immediately upon issuance and expire three years from the issuance date.
The company stated it will use the proceeds for working capital and general corporate purposes. The securities were offered under an exemption from Securities Act registration requirements, specifically Section 4(a)(2) and Regulation D. No placement agent participated in the transaction.
The warrant exercise prices and number of shares are subject to adjustment if certain events occur, including share combinations or similar recapitalization transactions.
