T2 Metals arranges private placement to raise up to $1.1 million

T2 Metals Corp. (TSXV: TWO) (OTCQB: TWOSF) announced a non-brokered private placement financing to raise up to $1.1 million. The funds will support exploration at the company's Shanghai gold-silver project in Yukon's Tombstone Gold Belt and the Sherridon copper-gold project in Manitoba, along with reviewing new acquisition opportunities.



The offering comprises up to 3,584,000 units, including 3,334,000 hard dollar units priced at $0.30 each to raise up to $1,000,200, and 250,000 flow-through units priced at $0.40 each to raise up to $100,000.



Each hard dollar unit consists of one common share and one-half of a common share purchase warrant. Each flow-through unit includes one common share and one-half of a warrant issued on a non-flow-through basis. Full warrants allow holders to purchase additional common shares at $0.45 for two years from closing.



Proceeds from flow-through units will fund eligible Canadian exploration expenses qualifying as flow-through critical mineral mining expenditures under Canada's Income Tax Act, specifically related to the Sherridon Project in Manitoba.



The financing includes insider participation, with potential finders' fees on portions of the offering. Net proceeds will support working capital and exploration activities.



All securities issued are subject to a four-month hold period and require regulatory approvals, including final acceptance by the TSX Venture Exchange. The securities have not been registered under U.S. securities laws.



T2 Metals operates copper and precious metal projects including Sherridon, Lida, Cora and Copper Eagle, targeting areas with post-mineralization cover near major mines.
