Syndax Pharmaceuticals (SNDX) Prices 10.81M Share Offering at $18.50/sh

Syndax Pharmaceuticals, Inc. (Nasdaq: SNDX), a clinical-stage biopharmaceutical company developing an innovative pipeline of cancer therapies, today announced the pricing of an underwritten public offering of 10,810,810 shares of its common stock. The public offering price of each share of common stock is $18.50. The aggregate gross proceeds from this offering are expected to be approximately $200.0 million, before deducting underwriting discounts and commissions and other offering expenses payable by Syndax. In addition, Syndax granted the underwriters a 30-day option to purchase up to an additional 1,621,621 shares of common stock. All of the shares of common stock are being sold by Syndax. The offering is expected to close on December 19, 2023, subject to customary closing conditions.

Goldman Sachs & Co. LLC, J.P. Morgan, TD Cowen and Stifel are acting as joint book-running managers for the offering. B. Riley Securities is acting as manager for the offering.
