Stuhini raises $260,000 in first tranche of private placement
Stuhini Exploration Ltd. (TSXV: STU) (OTCQB: STXPF) closed the first tranche of its non-brokered private placement, raising $260,000 through the issuance of 2,166,332 units at $0.12 per unit.
Each unit consists of one common share and one-half of one warrant. Each full warrant allows the holder to purchase one additional common share at $0.18 until August 22, 2027.
Company directors and officers acquired 184,000 units under the placement. The transaction constitutes a related party transaction under TSX Venture Exchange policy and regulatory requirements, though the company relied on exemptions from formal valuation and minority shareholder approval requirements since the transaction value does not exceed 25% of the company's market capitalization.
The securities are subject to a regulatory hold period ending December 23, 2025. The private placement requires final approval from the TSX Venture Exchange.
Stuhini paid finder's fees totaling $6,472.80 to Research Capital and Canaccord Genuity Corp., representing 6% of gross proceeds from units placed by the finders.
The company plans to use proceeds to support exploration and advancement of its Ruby Creek Project, including technical evaluation and groundwork for future drilling targets, along with corporate initiatives and general working capital.
Stuhini is a mineral exploration company focused on precious and base metals properties in western Canada. Its portfolio includes the Ruby Creek Property in British Columbia, the South Thompson Nickel Project in Manitoba, and the Big Ledge Property in British Columbia.
