Structure Therapeutics announces $500 million public offering

Structure Therapeutics Inc. (NASDAQ: GPCR) announced a proposed underwritten public offering to raise $500 million through the sale of American depositary shares and pre-funded warrants. Each ADS represents three ordinary shares of the clinical-stage biopharmaceutical company.
The company granted underwriters a 30-day option to purchase up to an additional $75 million of securities. Structure Therapeutics stated there is no assurance regarding whether or when the offering may be completed or the actual size and terms.
Jefferies, Leerink Partners, Goldman Sachs & Co. LLC, Morgan Stanley, Guggenheim Securities and BMO Capital Markets serve as joint book-running managers for the offering. LifeSci Capital and Citizens Capital Markets act as co-managers.
The offering operates under an automatic shelf registration statement on Form S-3 filed with the Securities and Exchange Commission on August 6, 2025, which became effective upon filing. A preliminary prospectus supplement will be filed with the SEC.
Structure Therapeutics focuses on developing oral small molecule therapeutics for metabolic diseases, particularly obesity. The company uses structure-based drug discovery to create GPCR-targeted treatments designed as alternatives to biologic and peptide therapies.
The press release notes that completion of the offering remains subject to market and other conditions. All securities in the offering are being sold by Structure Therapeutics according to the company statement.
