Stria Lithium reprices private placement to $0.47 per unit
Stria Lithium Inc. (TSXV: SRA) (OTCQB: SRCAF) (FSE: S35A) announced it has repriced the terms of its previously announced non-brokered private placement for gross proceeds of up to $1,000,000, according to a company statement.
The company proposes to issue up to 2,127,659 units at $0.47 per unit. Each unit consists of one common share and one warrant that entitles the holder to purchase an additional common share at $0.59 per share for three years from the date of issuance.
The financing proceeds will be used for advancing the company's mineral exploration assets and operations, potential future acquisitions, and general working capital purposes, the statement said.
Certain company insiders may participate in the financing. The company expects such participation will be exempt from formal valuation and minority shareholder approval requirements as neither the fair market value of securities issued to insiders nor consideration paid by insiders is expected to exceed 25% of the company's market capitalization.
All securities issued will be subject to a statutory hold period of four months and one day from the date of issuance in accordance with applicable securities laws and TSX Venture Exchange policies.
Completion of the financing remains subject to acceptance by the TSX Venture Exchange. Finders' fees may be paid in connection with the financing in accordance with exchange policies.
The company had previously announced the private placement on February 13, 2026, but did not specify the original pricing terms in the current statement.
