January 22, 2026 5:21 PM EST

Streamex Corp. (NASDAQ: STEX) announced plans for an underwritten public offering of common stock, according to a company statement. The Winter Park, Florida-based company specializes in tokenization of real-world assets and commodity-backed stablecoins.

The company will offer all shares in the proposed offering, with proceeds intended for repaying debt and working capital purposes. Needham & Company and Siebert will serve as joint book-running managers for the offering.

The offering operates under a shelf registration statement filed with the Securities and Exchange Commission, which became effective on December 17, 2024. The completion remains subject to market conditions, with no guarantees regarding timing, size, or terms.

Streamex describes itself as a technology company focused on digitalization of real-world assets through blockchain-enabled financial instruments. The company provides what it calls institutional-grade solutions for bringing traditional commodities and assets onto blockchain networks.

A preliminary prospectus supplement will be filed with the SEC along with an accompanying base prospectus. The securities can only be offered through written prospectus materials that form part of the effective registration statement.

The company noted that the press release does not constitute an offer to sell securities and that no sales will occur in jurisdictions where such activities would be unlawful without proper registration or qualification under local securities laws.
