Stillwater Critical Minerals upsizes private placement to C$15 million
Stillwater Critical Minerals Corp. (TSX.V:PGE)(OTCQB: PGEZF)(FSE:J0G) increased its private placement offering to C$15 million from the previously announced C$10 million due to investor demand, according to a company statement.
The underwritten offering will sell 32.6 million units at C$0.46 per unit through underwriters Red Cloud Securities Inc. and Research Capital Corporation. Each unit consists of one common share and half of one warrant, with each full warrant allowing the purchase of one share at C$0.64 within 36 months of closing.
The underwriters received an over-allotment option to purchase up to 4.3 million additional units for extra proceeds of up to C$2 million, exercisable up to 48 hours before closing.
The company plans to use proceeds for exploration and advancement of its Stillwater West Ni-PGE-Cu-Co+Au project in Montana and for general corporate purposes and working capital.
Units will be sold to Canadian purchasers under the listed issuer financing exemption, making the underlying shares immediately tradeable in Canada. The offering may also include sales in offshore jurisdictions and the United States through private placement exemptions.
The offering is scheduled to close around December 30, 2025, subject to regulatory approvals including TSX Venture Exchange approval. Securities not issued under the Canadian exemption will have a four-month-plus-one-day hold period.
Stillwater Critical Minerals focuses on mineral exploration and development, with its flagship project located in the Stillwater mining district in Montana.
