Stillwater Critical Minerals upsizes private placement by C$43,309

Stillwater Critical Minerals Corp. (TSXV: PGE) announced it will further increase its non-brokered private placement financing by an additional 210,038 units at C$0.23 per unit, raising an additional C$43,308.74 in gross proceeds.



The additional upsize brings the total offering to 1,856,418 units for aggregate gross proceeds of C$426,976.14. Each unit consists of one common share and one-half of one common share purchase warrant, with each whole warrant allowing the purchase of one common share at C$0.34 for 36 months from issuance.



The company previously announced the private placement on July 15, 2025, and upsized it on July 28, 2025, citing increased demand for the additional expansion.



Glencore Canada Corporation, a subsidiary of Glencore plc, indicated it intends to exercise participation rights to acquire 6,000,000 units at C$0.23 per unit for gross proceeds of C$1,380,000. The Glencore participation follows a previously announced C$7 million brokered LIFE offering.



Directors and officers of the company are anticipated to acquire units under the additional offering. These transactions will constitute related party transactions under Multilateral Instrument 61-101, though the company plans to rely on exemptions due to the fair market value being below 25% of the company's market capitalization.



The securities will be subject to a four-month and one-day hold period from closing. No finders' fees are payable on the offerings.



Stillwater Critical Minerals plans to use proceeds for exploration and advancement of its Stillwater West Ni-PGE-Cu-Co+Au project in Montana, exploration at its Kluane critical minerals project in Yukon, and general corporate purposes.



The offerings are scheduled to close around August 12, 2025, subject to TSX Venture Exchange acceptance and regulatory approvals.
