Stillwater Critical Minerals raises $8.78 million in private placements

Stillwater Critical Minerals Corp. (TSXV: PGE) closed a non-brokered private placement financing on August 12, 2025, raising gross proceeds of $401,976 through the issuance of 1,747,722 units at $0.23 per unit.



The financing was part of multiple offerings that raised more than $8.78 million for the company since June 25, 2025. The offerings included a $7 million brokered LIFE offering that closed in two tranches on June 25 and July 15, and a separate placement to Glencore Canada Corporation that closed August 13.



Glencore, a wholly owned subsidiary of Glencore plc, exercised participation rights and acquired 6 million units at $0.23 per unit for gross proceeds of $1.38 million. Each unit consists of one common share and one-half warrant, with each whole warrant allowing the purchase of one common share at C$0.34 within 36 months.



If all warrants from the offerings are exercised, the company would receive over $6.4 million in additional funding, according to the press release.



The company plans to use proceeds for exploration and advancement of its Stillwater West Ni-PGE-Cu-Co+Au project in Montana, a smaller exploration program at its Kluane critical minerals project in Yukon, Canada, and general corporate purposes.



Company directors and officers acquired 294,002 units under the placement. The securities are subject to a four-month hold period and the offerings require final acceptance from the TSX Venture Exchange.



Stillwater Critical Minerals focuses on mineral exploration, with its flagship project located in Montana's Stillwater mining district.
