Steakholder Foods files prospectus for $8 million equity facility
Steakholder Foods Ltd. (NASDAQ: STKH) filed a prospectus for the resale of up to 5,693,950 American Depositary Shares by a selling shareholder, according to a regulatory filing.
Each American Depositary Share represents 4,000 ordinary shares of the alternative protein company. The prospectus relates to an equity line of credit facility worth up to $8 million established through a purchase agreement dated February 27, 2025.
The company will not receive proceeds from the resale of shares by the selling shareholder but may receive up to $8 million in gross proceeds from the selling shareholder under the purchase agreement when shares are sold to that entity.
The number of shares in the prospectus is based on a closing price of $1.405 per American Depositary Share on the Nasdaq Capital Market as of February 23, 2026. Steakholder Foods previously issued 4,367 shares as a commitment fee under the agreement.
The selling shareholder may offer the shares publicly or through private transactions at market prices or negotiated prices. The timing and amount of any sales remain at the selling shareholder's discretion.
The company noted in the filing that given the relative lack of liquidity in its stock, sales under the registration statement could result in a significant decline in the market price of its securities.
Steakholder Foods will bear costs and expenses related to registering the shares, including compliance with state securities laws. The selling shareholder will pay any discounts, commissions or concessions received from sales.
