Star Fashion Culture prices $9.6M public offering of Class A shares

Star Fashion Culture Holdings Limited (NASDAQ: STFS) announced the pricing of a best-efforts follow-on public offering of 12,000,000 Class A ordinary shares at $0.80 per share, according to a press release statement.

Gross proceeds from the offering are expected to total approximately $9.6 million before deducting placement agent fees and other offering expenses. The offering is expected to close on September 28, 2026, subject to customary closing conditions.

Kingswood Capital Partners, LLC is acting as placement agent for the offering.

The company said it intends to use net proceeds to develop its online marketing services and for general administration and working capital.

The offering is being made pursuant to a registration statement on Form F-1 (File No. 333-298981), which the Securities and Exchange Commission declared effective on September 24, 2026.

Star Fashion Culture Holdings is a content marketing solutions provider based in Xiamen, China, offering services in marketing campaign planning and execution, offline advertising, and online precision marketing.
