Standard Uranium closes first tranche of private placement for $836,100

Standard Uranium Ltd. (TSXV: STND) (OTCQB: STTDF) (FSE: 9SU0) completed the first tranche of its non-brokered private placement, raising gross proceeds of $836,100, according to a company statement.



The Vancouver-based uranium exploration company issued 7,751,250 non-flow-through units at $0.08 each for $620,100 and 2,160,000 flow-through units at $0.10 each for $216,000. Each non-flow-through unit includes one common share and half of one warrant, while each flow-through unit contains one flow-through share and half of one warrant.



The warrants allow holders to purchase one common share at $0.15 until September 16, 2027. Standard Uranium paid finders' fees of $33,275 and issued 393,450 finders' warrants to third parties who assisted in the offering.



Company officers and affiliates participated in the offering by purchasing 337,500 non-flow-through units. This insider participation constitutes a related party transaction under regulatory guidelines but qualifies for exemptions from valuation and minority shareholder approval requirements.



Standard Uranium plans to use the net proceeds for exploring its Saskatchewan uranium projects and working capital. Flow-through unit proceeds will fund Canadian exploration expenses and mining expenditures, with tax benefits renounced to purchasers by December 31, 2025.



All securities issued are subject to a statutory hold period until January 17, 2026. The company intends to complete additional tranches of the offering and will provide updates upon completion.



Standard Uranium holds interests in over 233,455 acres in Saskatchewan's Athabasca Basin, including the Davidson River Project, eastern Athabasca projects, and Sun Dog project.
