Spyre Therapeutics announces public offering of common stock

Spyre Therapeutics Inc. (NASDAQ: SYRE) announced it has commenced an underwritten public offering of common stock shares and pre-funded warrants. The clinical-stage biotechnology company focuses on treatments for inflammatory bowel disease and other immune-mediated conditions.
The offering includes shares of common stock or pre-funded warrants to purchase common stock shares for certain investors. Spyre expects to grant underwriters a 30-day option to purchase additional common stock shares at the public offering price, minus underwriting discounts. The company will sell all securities in the offering.
Jefferies LLC, TD Securities (USA) LLC, Leerink Partners LLC and Stifel, Nicolaus & Company, Incorporated serve as joint book-running managers for the proposed offering. Wedbush Securities Inc. acts as lead manager.
The offering remains subject to market and other conditions. The company stated no assurance exists regarding whether or when the offering may be completed or the actual size or terms of the offering.
A registration statement on Form S-3 relating to these securities was filed with the Securities and Exchange Commission and became effective on March 7, 2025. The offering will be conducted through a prospectus supplement and accompanying prospectus.
Spyre develops investigational extended half-life antibodies targeting α4β7, TL1A, and IL-23 for inflammatory bowel disease and other immune-mediated diseases. The company combines antibody engineering, dose optimization, and therapeutic combinations in its approach.
