Solstice Gold closes $650,000 private placement for property deal

Solstice Gold Corp. (TSXV: SGC) closed a private placement on September 4, 2026, raising approximately $650,000 through the issuance of 10,833,333 common shares at $0.06 per share, according to a company statement.
The proceeds will fund the cash portion of the company's previously announced acquisition of a 100% interest in surface and mining rights to certain real property, including the Leckie Patents and 43 unpatented mining claims. Closing of the acquisition is expected on or about September 14, 2026.
Company insiders purchased 883,333 of the common shares for approximately $53,000, constituting related party transactions under Multilateral Instrument 61-101. The company said it qualifies for exemptions from formal valuation and minority shareholder approval requirements because the value of securities purchased by related parties is below 25% of the company's market capitalization.
All securities issued are subject to a hold period of four months and one day from closing under Canadian securities laws and TSX Venture Exchange policies. No finder's fees were paid in connection with the placement.
