SoFi announces $1.5 billion public offering of common stock

SoFi Technologies Inc. (NASDAQ: SOFI) announced an underwritten public offering of $1.5 billion in common stock shares. The company expects to grant the underwriter a 30-day option to purchase up to an additional 15% of the shares offered.



Goldman Sachs & Co. LLC will serve as the underwriter for the offering. All shares will be sold by SoFi, with the company planning to use net proceeds for general corporate purposes, including enhancing its capital position, increasing operational flexibility and funding growth opportunities.



The offering operates under an automatic shelf registration statement on Form S-3 that became effective with the Securities and Exchange Commission on July 29, 2025. The prospectus supplement and accompanying base prospectus will be filed with the SEC and made available through the EDGAR database.



SoFi operates as a digital financial services platform serving over 12.6 million members who use the company's services for borrowing, saving, spending, investing and financial protection through a single application. The company also provides its Galileo technology platform to financial institutions and brands managing nearly 160 million global accounts.
