Smith Micro files two SEC registration statements for existing securities

Smith Micro Software, Inc. (Nasdaq: SMSI) has filed two registration statements with the Securities and Exchange Commission, according to a company statement.
The first, a Form S-1, registers for resale shares of common stock underlying securities issued in a financing transaction completed in June 2026. The filing is intended to satisfy contractual registration rights tied to that transaction and covers shares issuable upon exercise of previously disclosed common stock purchase warrants.
The second, a Form S-8, registers additional shares for issuance under the company's Amended and Restated Omnibus Equity Incentive Plan. Those additional shares were authorized by stockholders at the company's 2026 annual meeting.
Smith Micro stated that no new securities are being offered to investors through either filing and that existing stockholders will not experience dilution as a result of the registrations.
