Sky Harbour Group raises $40M in registered direct offering

Sky Harbour Group Corporation (NYSE: SKYH) sold 4,000,000 shares of its Class A common stock at $10.00 per share in a registered direct offering, raising $40.0 million in gross proceeds before expenses, according to a company statement.
The Stock Purchase Agreement was entered into on August 10, 2026, with closing occurring on August 12, 2026. The company said it intends to use the net proceeds for general corporate purposes.
As part of the offering, the company, its directors, executive officers, holders of more than 5% of outstanding stock, and the investors agreed to a 90-day lock-up period, during which they will not sell, pledge, or otherwise transfer shares of common stock or securities convertible into common stock, subject to certain exceptions.
Concurrent with the offering, Boston Omaha Corporation separately entered into Secondary Stock Purchase Agreements with certain investors to sell 360,000 shares of Sky Harbour common stock at $10.00 per share. Those transactions were expected to close on or before August 14, 2026.
