Sinda closes $95.3M private placement with Fresnillo plc

Sinda Ltd. (NYSE: SIND) completed the closing of a private placement with Fresnillo plc on July 27, 2026, according to a company statement.

Under the terms of a Common Stock Purchase Agreement dated June 22, 2026, Fresnillo purchased 7,939,544 shares of Sinda common stock at $12.00 per share, the company's initial public offering price, generating gross proceeds of approximately $95.3 million for Sinda.

Following the closing, Sinda filed a Form S-1 registration statement with the U.S. Securities and Exchange Commission on July 28, 2026, covering the potential future resale of those shares. The company stated that the filing does not represent a sale, an offering, or an intention to sell shares by Fresnillo. Fresnillo remains subject to a 180-day lock-up agreement.

Daniel Muñiz Quintanilla, Executive Chairman of Sinda, said the transaction leaves the company "well-capitalized to advance our operational objectives."

At the time of the original announcement, Fresnillo stated: "The Sinda Property is a large primary silver asset that has the potential to be a globally significant mining operation. Fresnillo is acquiring the Common Shares to enhance its exposure to attractive geological silver districts, complementary to the Company's organic portfolio."

Sinda is a silver exploration and development company operating in Mexico, with an estimated 369 million silver-equivalent ounces of Inferred Mineral Resources and 16 million silver-equivalent ounces of Indicated Mineral Resources.
