Silo Pharma launches $4M private placement with warrant upside

Silo Pharma, Inc. (Nasdaq: SILO) announced a private placement priced at-the-market under Nasdaq rules, expected to raise approximately $4 million in upfront gross proceeds, with potential additional proceeds of up to approximately $7.7 million if associated warrants are exercised in full.
According to the company's statement, the offering involves the issuance of 619,965 shares of common stock, or pre-funded warrants in lieu thereof, along with two series of warrants. Series A-3 warrants allow the purchase of up to 619,965 shares and expire five years after the effective date of the resale registration statement. Series A-4 warrants cover the same number of shares but expire eighteen months after that date. Both warrant series carry an exercise price of $6.21 per share and are exercisable immediately upon issuance. The purchase price per share, or pre-funded warrant, is $6.452.
The offering is expected to close on or about July 10, 2026, subject to customary closing conditions. H.C. Wainwright & Co. is serving as exclusive placement agent. The company stated it intends to use net proceeds for working capital and general corporate purposes.
The securities are being offered under Section 4(a)(2) of the Securities Act of 1933 and Regulation D and have not been registered with the SEC. Silo Pharma has agreed to file one or more registration statements covering the resale of the unregistered securities. The company noted that no assurance can be given that any warrants will be exercised or that additional cash proceeds will be received.
