Silexion Therapeutics raises $1 million through warrant exercises

Silexion Therapeutics Corp. (NASDAQ: SLXN) announced the exercise of warrants to purchase 1,995,092 ordinary shares at $0.50 per share, generating approximately $1 million in gross proceeds before fees and expenses.

The biotechnology company, which focuses on RNA interference therapies for KRAS-driven cancers, expects the offering to close on or about May 18, 2026, subject to customary closing conditions. H.C. Wainwright & Co. is serving as the exclusive placement agent.

The exercised warrants were originally issued in August and September 2025. The ordinary shares resulting from the warrant exercises are registered under effective registration statements filed with the Securities and Exchange Commission.

As part of the arrangement, Silexion will issue new unregistered warrants to the exercising holders. These include Series C warrants for up to 2,045,000 shares and Series D warrants for up to 1,945,184 shares, both with exercise prices of $0.50 per share.

The Series C warrants will expire five years after shareholder approval and registration statement effectiveness, while Series D warrants will expire 24 months after these conditions are met. The new warrants require shareholder approval before they can be exercised.

Silexion stated it intends to use the net proceeds as working capital for general corporate purposes. The company is currently advancing its lead product candidate, SIL204, a small interfering RNA therapy, toward clinical trials in Israel and the European Union for locally advanced pancreatic cancer treatment.
