Shuttle Pharmaceuticals raises $2.5 million in private placement
Shuttle Pharmaceuticals Holdings, Inc. (NASDAQ: SHPH) announced it has entered into a securities purchase agreement with a single investor for gross proceeds of approximately $2.5 million.
The company will issue a pre-funded warrant to purchase up to 625,156 shares of common stock at an effective purchase price of $4.00 per share. The pricing was set above-the-market under Nasdaq rules.
Shuttle Pharmaceuticals plans to use the net proceeds for marketing, general corporate purposes and working capital after deducting placement agent fees and other offering expenses.
The offering is expected to close on or about November 4, 2025, subject to customary closing conditions. WestPark Capital, Inc. is serving as the exclusive placement agent.
The securities have not been registered under the Securities Act of 1933 and were offered only to accredited investors. The company has agreed to file registration statements with the Securities and Exchange Commission covering the resale of shares issuable upon exercise of the pre-funded warrant.
Shuttle Pharmaceuticals is a clinical-stage pharmaceutical company focused on developing drugs that sensitize cancer cells to radiation therapy. Additional details regarding the offering will be available in a Form 8-K filing with the SEC.
