Secur3D plans private placement of up to C$1.5 million
Secur3D Holdings Inc. (CSE: SRD) announced a proposed non-brokered private placement of up to 10,000,000 units at C$0.15 per unit, seeking gross proceeds of up to C$1,500,000.
Each unit consists of one common share and one non-transferable common share purchase warrant. Each warrant allows the holder to purchase one additional share at C$0.20 for 24 months from the date of issue. If shares close at or above C$0.45 for five consecutive trading days on the Canadian Securities Exchange, the company may accelerate warrant expiry to 30 calendar days following a news release announcing the acceleration. Acceleration cannot be triggered during the statutory hold period of four months and one day.
The Vancouver-based company said it intends to use net proceeds for product development, enterprise sales, business development, and general working capital, including enhancements to its AssetSafe product and continued development of Sentry, which the company noted is not yet generally available.
Closing is anticipated on or about September 28, 2026, subject to corporate and regulatory approvals, including approval from the Canadian Securities Exchange. The offering may close in one or more tranches and may close for less than the maximum amount. The company may pay finder's fees in cash or securities to eligible finders.
Secur3D also clarified a July 24, 2026 news release, confirming that Market One Media Group Inc. will provide investor relations services to the company.
