Savers Value Village prices $205M secondary stock offering

Savers Value Village, Inc. (NYSE: SVV) has priced a secondary public offering of 20 million shares of common stock at $10.25 per share, according to a press release from the company.
The shares are being sold by Ares Private Equity and Opportunistic Credit funds and accounts, which will receive all net proceeds from the sale. Savers Value Village will not sell any shares in the offering and will not receive any proceeds.
The underwriters have a 30-day option to purchase up to an additional 3 million shares from the selling stockholders. The offering is expected to close on August 13, 2026, subject to customary closing conditions.
Separately, Savers Value Village will repurchase $10 million of shares from the underwriters at the same price paid by the underwriters to the selling stockholders. The company said it will fund the repurchase using existing cash on hand, and noted the transaction is not part of its existing share repurchase program.
J.P. Morgan, Goldman Sachs & Co. LLC, Jefferies, and UBS Investment Bank are acting as joint lead book-running managers. Wells Fargo Securities, Baird, William Blair, BTIG, and Piper Sandler are also acting as book-running managers. KKR Capital Markets LLC and Loop Capital Markets are serving as co-managers.
A registration statement related to the offering was declared effective by the Securities and Exchange Commission on May 14, 2025.
