Sangamo Therapeutics prices $25 million stock offering at $0.47 per share

Sangamo Therapeutics Inc. (NASDAQ: SGMO) announced the pricing of a $25 million underwritten offering consisting of common stock and warrants. The genomic medicine company will sell 35,190,292 shares of common stock and pre-funded warrants to purchase 17,787,033 shares at a combined offering price of $0.4719 per share with accompanying warrant.
Each share or pre-funded warrant sold includes an accompanying warrant to purchase one share of common stock. The accompanying warrants carry an exercise price of $0.4719 per share, become exercisable six months from issuance, and expire five and a half years from the issuance date.
The company also agreed to reduce the exercise price on outstanding warrants for 23,809,523 shares held by an investor from $1.00 to $0.4719 and extend their term to five and a half years. These modified warrants will become exercisable six months from the new securities' issuance date.
Sangamo expects gross proceeds of approximately $25 million before underwriting discounts and offering expenses. The company intends to use net proceeds for working capital and general corporate purposes. The offering is expected to close on or about February 4, 2026, subject to customary closing conditions.
Cantor and Wells Fargo Securities are serving as joint book-running managers for the offering. The securities are being offered under a previously filed and effective shelf registration statement on Form S-3 with the Securities and Exchange Commission.
Sangamo Therapeutics focuses on developing genomic medicines for neurological diseases using zinc finger epigenetic regulators and capsid discovery platforms for drug delivery.
