Sadot Group announces proposed public offering of common stock

Sadot Group Inc. (NASDAQ: SDOT) announced it intends to offer shares of its common stock in a best efforts public offering. The Burleson, Texas-based company will sell all shares in the offering.
ThinkEquity is serving as sole placement agent for the offering. The company stated the offering is subject to market conditions and provided no assurance regarding completion, timing, size or terms.
Sadot Group plans to use net proceeds primarily for general working capital and corporate purposes, and for debt repayment.
The securities will be offered under a shelf registration statement on Form S-3 filed with the Securities and Exchange Commission on August 29, 2024, and declared effective on September 19, 2024. A preliminary prospectus supplement and accompanying prospectus describing the offering terms has been or will be filed with the SEC.
Sadot Group operates in the global food supply chain, providing supply chain solutions focused on food security challenges. The company's operations include agri-commodity origination and trading of products such as soybean meal, wheat and corn, and farm operations producing grains and tree crops in Southern Africa.
The company sources agri-commodity products from the Americas, Africa and the Black Sea region, delivering to markets in Southeast Asia, China and the Middle East/North Africa region. Sadot Group maintains subsidiary operations in the United States, Brazil, Canada, Colombia, India, Israel, Singapore, Ukraine, United Arab Emirates, South Korea and Zambia.
