SOBRsafe raises $2 million in private placement at $1.55 per share
SOBRsafe Inc. (NASDAQ: SOBR) announced it has entered into definitive agreements for a $2 million private placement offering. The company will issue 1,290,324 shares of common stock at $1.55 per share, along with Series C and Series D warrants to purchase an additional 1,290,324 shares each.
The warrants carry an exercise price of $1.30 per share and become exercisable immediately upon issuance. Series C warrants expire five years after the effective date of the resale registration statement, while Series D warrants expire twenty-four months after that date.
H.C. Wainwright & Co. serves as the exclusive placement agent for the offering. The transaction is expected to close on or about December 29, 2025, subject to customary closing conditions.
SOBRsafe stated it intends to use the net proceeds for working capital and general corporate purposes. The securities were offered under Section 4(a)(2) of the Securities Act of 1933 and Regulation D to accredited investors only.
The Denver-based company develops alcohol detection technology that monitors alcohol presence through skin without requiring breath, blood, or urine samples. SOBRsafe provides monitoring solutions for behavioral health, family law, and consumer markets.
The securities have not been registered under federal securities laws and may not be offered or sold in the United States without registration or an applicable exemption. The company has agreed to file registration statements with the SEC covering resale of the unregistered securities.
