Royal Road Minerals plans C$5 million private placement
Royal Road Minerals Limited (TSXV: RYR) (OTCQB: RRDMF) announced a non-brokered private placement offering of up to 27,777,778 ordinary shares at C$0.18 per share for gross proceeds of up to C$5 million.
The shares will be offered to purchasers in Canadian provinces except Quebec and other qualifying jurisdictions under the listed issuer financing exemption. The shares will not be subject to a hold period under Canadian securities laws.
The company engaged Integrity Capital Group Inc. as a finder and may pay fees of up to 6% cash commission plus 6% in broker warrants on total proceeds from subscribers introduced by Integrity. Royal Road may also pay up to $10,000 in expenses to Integrity.
The net proceeds will fund expanded drilling programs across the company's properties in Colombia and Saudi Arabia. Closing is expected on or before November 21, 2025, subject to regulatory approvals including TSX Venture Exchange approval.
"The advancement of permitting activities in Colombia provides the opportunity to consolidate key titles and continue our drilling work at Guintar, where the Company has discovered a compelling new porphyry gold, copper and silver system," said Tim Coughlin, president and CEO.
Royal Road Minerals is a mineral exploration company headquartered in Jersey, Channel Islands, that explores for copper and gold deposits in Saudi Arabia, Morocco and Colombia.
