Rithm Capital prices $250 million preferred stock offering

Rithm Capital Corp. (NYSE: RITM) priced an underwritten public offering of 10 million shares of its 8.750% Series F Fixed-Rate Reset Cumulative Redeemable Preferred Stock at $25.00 per share, generating gross proceeds of approximately $250 million before underwriting discounts and expenses.
The company plans to list the preferred stock on the New York Stock Exchange under the symbol "RITM PR F." The offering is expected to close on January 21, 2026, subject to customary closing conditions.
Rithm has granted underwriters a 30-day overallotment option to purchase up to an additional 1.5 million shares of the preferred stock. The company stated it intends to use net proceeds for investments and general corporate purposes.
Morgan Stanley & Co. LLC, Goldman Sachs & Co. LLC, J.P. Morgan Securities LLC, RBC Capital Markets, LLC, UBS Investment Bank, Wells Fargo Securities, LLC, Citigroup Global Markets Inc., Keefe, Bruyette & Woods, and Piper Sandler & Co. are serving as joint bookrunners for the offering.
The offering is being conducted under the company's effective shelf registration statement filed with the Securities and Exchange Commission. The transaction is being made only through a prospectus and related prospectus supplement.
