Revelation Biosciences raises $11 million through warrant exercise

Revelation Biosciences Inc. (NASDAQ: REVB) announced it entered into an agreement for the immediate exercise of warrants to purchase up to 13,065,000 shares of common stock at $0.86 per share, generating $11 million in gross proceeds.
The warrants were originally issued on September 11, 2025. The transaction is expected to close on or about January 26, 2026, subject to customary closing conditions.
In exchange for the immediate cash exercise, warrant holders will receive new Class J warrants to purchase up to 26,130,000 shares of common stock at $0.86 per share. The new warrants will be exercisable for five years after stockholder approval and are being issued in a private placement.
Roth Capital Partners is serving as the company's financial advisor for the transaction. The shares issuable upon exercise of the original warrants are registered under an effective Form S-3 registration statement.
The company stated it will file a resale registration statement on Form S-3 with the Securities and Exchange Commission within 20 days of the closing to register the resale of shares underlying the new Class J warrants.
Revelation Biosciences is a clinical-stage life sciences company developing treatments using its proprietary formulation called Gemini. The company has programs evaluating Gemini for acute kidney injury, chronic kidney disease, post-surgical infection prevention, and treatment of hyperinflammation and infection associated with severe burns.
