Regency Silver upsizes private placement to $3.58 million

Regency Silver Corp. (TSXV: RSMX) announced it has increased its brokered private placement offering to $3.58 million due to investor demand. The company will issue 35.85 million units at $0.10 per unit on a post-consolidation basis, including the full exercise of an over-allotment option.



Centurion One Capital Corp. serves as lead agent and sole bookrunner for the offering. The placement represents an increase from previously announced amounts disclosed on August 7, August 18, and August 22.



The company plans to implement a share consolidation on a 1-for-2 basis, effective on or around August 26. Each unit consists of one common share and one-half of a warrant. The warrants allow holders to purchase additional shares at $0.20 each for two years.



Securities issued under the offering will have a four-month-and-one-day hold period from closing. The offering is expected to close around August 29, subject to regulatory approvals including TSX Venture Exchange approval and completion of the share consolidation.



"We continue to experience strong demand for this Offering. The proceeds will allow us to continue unlocking the value of our exciting Dios Padre project," said Bruce Bragagnolo, Chief Executive Officer.



The company will use net proceeds for drilling at its Dios Padre Project in Sonora, Mexico, and general working capital. The private placement will be offered in Canadian provinces and territories, the United States under securities law exemptions, and other jurisdictions agreed upon by the company and lead agent.
