Regency Silver upsizes private placement offering to $3.5 million
Regency Silver Corp. (TSXV: RSMX) (OTCQB: RSMXD) announced it has increased its previously announced private placement offering to $3.5 million due to investor demand, according to a company statement.
The brokered offering, led by Centurion One Capital Corp., will issue 20 million units at $0.175 per unit. The company also announced a concurrent non-brokered private placement of up to 500,000 units at the same price for additional gross proceeds of $87,500.
Each unit consists of one common share and one warrant. The warrants allow holders to purchase additional shares at $0.26 for 36 months from the closing date.
The lead agent has an option to increase the offering by up to 2.8 million additional units. If exercised fully, the total offering would reach approximately $4 million in gross proceeds.
The brokered offering will use the listed issuer financing exemption under Canadian securities regulations, meaning shares will not be subject to a statutory hold period. The non-brokered offering will be subject to a four-month hold period under Canadian securities laws.
Regency Silver plans to use proceeds for drilling at its Dios Padre Project in Sonora, Mexico, and general working capital purposes.
The offerings are expected to close on or around December 19, 2025, subject to regulatory approvals including TSX Venture Exchange approval.
The company filed a second amended and restated offering document dated December 15, 2025, which is available on SEDAR+ and the company's website.
