Regency Silver arranges private placement of up to $4 million
Regency Silver Corp. (TSXV: RSMX) (OTCQB: RSMXF) (FSE: ZJ90) announced it has arranged a non-brokered private placement of up to 16 million units at $0.25 per unit for gross proceeds of up to $4 million, subject to regulatory approval.
Each unit consists of one common share and one-half of one common share purchase warrant. Each whole warrant entitles the holder to acquire one additional common share at $0.35 per share for two years from the date of issuance.
The closing is anticipated to take place on or about February 23, 2026. The company has engaged Centurion One Capital Corp. as special advisor for the private placement.
According to the press release, the private placement received support from institutional investors and existing shareholders. Bruce Bragagnolo, chief executive officer, stated the financing was supported by long-term shareholders and US-based institutional investors.
The proceeds will be used for exploration and development of the company's properties, acquisition of additional properties and general working capital. All securities issued will be subject to a four-month hold period under Canadian securities laws.
Completion of the private placement remains subject to acceptance by the TSX Venture Exchange. The company has agreed to pay an advisory fee to Centurion One Capital in connection with the placement.
Regency Silver is a Canadian resource company exploring for gold, copper and silver in Mexico. The company's flagship project is the Dios Padre project in Sonora, Mexico.
