Regency Silver announces $1.5 million private placement funding

Regency Silver Corp. (TSXV: RSMX) announced it has entered into an agreement with Centurion One Capital Corp. for a brokered private placement to raise up to $1.5 million through the sale of up to 30 million units at $0.05 per unit.



Each unit consists of one common share and one-half of one share purchase warrant. Each full warrant entitles the holder to purchase one share at $0.10 for 24 months from the closing date.



The company plans to use proceeds for drilling on its Dios Padre Project in Sonora, Mexico and general working capital purposes. The proposed drill program follows two previous drill programs at Dios Padre that yielded results including 38 metres of 7.36 g/t gold in hole REG 23-21 and 36 metres of 6.84 g/t gold, 0.88% copper and 21.8 g/t silver in hole REG 22-01.



The offering is expected to close around August 22, 2025, subject to conditions including TSX Venture Exchange approval. Securities issued will have a four-month and one-day hold period from the closing date.



Regency Silver also announced a share consolidation at a ratio of two pre-consolidation shares to one post-consolidation share, subject to exchange approval. The consolidation must be implemented before the offering closes, with the issue price and warrant exercise price adjusted accordingly.



Following the consolidation, the issue price will be $0.10 per unit and warrant shares will be exercisable at $0.20 for 24 months from closing.



The company expects certain insiders may acquire up to approximately 50% of the offering, which would constitute a related party transaction under securities regulations.
