Reflex Advanced Materials plans C$1.5M convertible debenture offering
Reflex Advanced Materials Corp. (CSE: RFLX) (FSE: HF2) announced plans for a non-brokered private placement of unsecured convertible debentures for gross proceeds of up to C$1,500,000, according to a press release dated Aug. 5, 2026.
The debentures will be issued in principal amounts of C$1,000, carry an annual interest rate of 12%, and mature 24 months from the date of issuance. Holders may convert the principal and accrued interest into units of the company at any time up to the maturity date, at a conversion price equal to the most recent closing price of the company's common shares on the Canadian Securities Exchange prior to the conversion notice.
Each unit will consist of one common share and one common share purchase warrant. Each warrant will entitle the holder to acquire one additional common share at an exercise price of $0.15 for a period of 24 months from the date of issuance.
The company stated it intends to use net proceeds for general and administrative expenditures. The offering is expected to close on or about Aug. 21, 2026, subject to corporate and regulatory approvals, including approval from the Canadian Securities Exchange.
All securities issued under the offering will be subject to a statutory hold period of four months and one day.
