RedCloud insiders buy 7.2 million shares in private placement

RedCloud Holdings plc (Nasdaq: RCT) has agreed to sell 7.2 million unregistered ordinary shares to company insiders through a private placement at $0.25 per share, according to a press release from the London-based company.
The price represents approximately a 24% premium to the closing price of RedCloud's ordinary shares on Aug. 26, 2026. Gross proceeds are expected to total approximately $1.8 million, with the share issuance expected to be completed on or about Aug. 27, 2026.
Christina Byland, the company's largest shareholder, purchased 4.7 million ordinary shares. Dr. Nikolaus Senn, a shareholder and board member, purchased an additional 2.5 million ordinary shares.
Justin Floyd, CEO of RedCloud, said, "This transaction solidifies a long-standing vote-of-confidence in our vision coming from our largest shareholders."
The shares have not been registered under the Securities Act of 1933 and may not be offered or sold in the United States without registration or an applicable exemption from registration requirements.
