Red Violet prices $100M public stock offering at $60 per share

Red Violet, Inc. (NASDAQ: RDVT), an analytics and information solutions company based in Boca Raton, Fla., has priced an underwritten public offering of 1,666,667 shares of common stock at $60.00 per share, according to a company statement.



The offering is expected to generate $100 million in gross proceeds before underwriting discounts, commissions, and other expenses. The transaction is expected to close on Aug. 7, 2026, subject to customary closing conditions.



Red Violet has also granted underwriters a 30-day option to purchase up to an additional 250,000 shares at the public offering price, less underwriting discounts and commissions.



The company said it intends to use the net proceeds for working capital, general corporate purposes, and potential strategic acquisitions.



Raymond James and Needham & Company are serving as joint book-running managers and representatives of the underwriters. B. Riley Securities and Craig-Hallum are acting as co-managers.



The offering is being made under a shelf registration statement on Form S-3 that was filed with the U.S. Securities and Exchange Commission on Nov. 19, 2025, and declared effective on Nov. 25, 2025.
