ReGen III raises $1.9 million in first tranche of private placement

ReGen III Corp. (TSXV: GIII) (OTCQB: ISRJF) (FSE: PN4) completed the first tranche of its non-brokered private placement, raising $1,907,572 through the issuance of 9,537,860 units at $0.20 per unit.
Each unit consists of one common share and one-half of one common share purchase warrant. The warrants allow holders to purchase additional shares at $0.30 per share for three years from issuance. Securities from this tranche are subject to a four-month hold period expiring July 24, 2026.
The Vancouver-based company paid $28,000 in finders' fees for the initial tranche. ReGen III plans to close the second and final tranche by March 27, 2026, bringing total gross proceeds to $4 million as previously announced.
The company intends to use net proceeds for working capital, general corporate purposes and debt repayment. The offering requires regulatory approvals, including final approval from the TSX Venture Exchange.
ReGen III operates in the clean technology sector, specializing in converting used motor oil into Group III base oils using its patented ReGen technology. The company's process transforms used motor oil into premium base oils for engines, turbines, industrial applications and data center dielectric fluids.
The securities were not registered under the U.S. Securities Act of 1933 and cannot be offered or sold in the United States without registration exemption, according to the company's statement.
