Railtown AI raises $3.4M in private placement funding

Railtown AI Technologies Inc. (CSE: RAIL) (OTCQB: RLAIF) completed a $3.4 million private placement offering, the company announced in a statement.



The Vancouver-based company sold 11,333,334 units at $0.30 per unit. Each unit includes one common share and half of a common share purchase warrant. The warrants allow holders to buy additional shares at $0.45 per share within 18 months.



The company paid $160,000 in cash commissions to finders, representing 8% of gross proceeds from purchasers they introduced. Railtown also issued 533,333 finder's warrants, each allowing the purchase of one share at $0.30 within 18 months.



Securities issued in the offering are subject to a four-month and one-day hold period under Canadian securities laws. The warrants may be subject to acceleration under certain circumstances detailed in the company's February 9, 2026 news release.



Railtown plans to use the net proceeds for general working capital purposes. The company develops AI developer tools and frameworks for building intelligent applications, including real-time data ingestion, agent development frameworks, and observability tools.
