REalloys announces public offering of common stock

REalloys Inc. (NASDAQ: ALOY) announced plans for an underwritten public offering of common stock, according to a company statement. The rare earth mining company intends to grant underwriters a 30-day option to purchase additional shares.
Clear Street will serve as lead book-running manager for the proposed offering, with Needham & Company acting as joint book-running manager. The company plans to use net proceeds for working capital and general corporate purposes.
The offering remains subject to market and other conditions, with no assurance regarding completion, timing, size or terms. All shares in the offering will be sold by the company.
REalloys will conduct the offering through a shelf registration statement on Form S-3 previously filed with the Securities and Exchange Commission and declared effective on February 10, 2025. The company will file a preliminary prospectus supplement and accompanying prospectus with the SEC.
The Boca Raton, Florida-based company operates a mine-to-magnet rare earth supply chain, including the Hoidas Lake rare-earth asset in Saskatchewan and manufacturing operations in Euclid, Ohio. The company produces rare earth metals, alloys and magnet components for defense, clean-energy and industrial applications.
