RAPT Therapeutics prices $250 million public offering at $30 per share

RAPT Therapeutics Inc. (NASDAQ: RAPT) announced the pricing of an underwritten public offering of 8,333,334 shares of common stock at $30.00 per share. The clinical-stage biopharmaceutical company also granted underwriters a 30-day option to purchase up to 1,250,000 additional shares at the same price.
The South San Francisco-based company expects gross proceeds of approximately $250 million before deducting underwriting discounts, commissions and other offering expenses. The offering excludes any exercise of the underwriters' option to purchase additional shares.
The transaction is expected to close on or about October 23, 2025, subject to customary closing conditions. All shares are being offered by RAPT Therapeutics.
Leerink Partners, TD Cowen, Guggenheim Securities, Wells Fargo Securities and LifeSci Capital are serving as joint bookrunning managers. H.C. Wainwright & Co. and Clear Street are acting as lead managers for the offering.
The offering is being conducted under a shelf registration statement filed with the Securities and Exchange Commission, which was declared effective on August 17, 2023. A preliminary prospectus supplement and accompanying prospectus has been filed with the SEC.
RAPT Therapeutics focuses on discovering, developing and commercializing therapies for patients with inflammatory and immunological diseases. The company develops treatments designed to modulate immune responses underlying these conditions.
