QSE closes $6M private placement with final tranche of $674K

Quantum Secure Encryption Corp. (CSE: QSE, OTCQB: QSEGF, FSE: VN80) has closed the second and final tranche of its non-brokered private placement, issuing 1,499,877 units at $0.45 per unit for proceeds of $674,944.65, according to a press release dated August 21, 2026.



Across the full offering, the Vancouver-based company issued 13,333,333 units at $0.45 per unit, generating total proceeds of approximately $6 million. Each unit consists of one common share and one half of one common share purchase warrant, with each whole warrant exercisable at $0.65 per share for two years from issuance.



In connection with the second tranche, the company paid finders a cash fee of $13,800 and issued 30,667 finder's warrants. Total finder's fees across the entire offering reached $123,560.53, with 237,844 finder's warrants issued. Each finder's warrant carries the same $0.65 exercise price and two-year term.



All securities issued are subject to a statutory hold period of four months plus one day from closing, in addition to hold periods under Canadian Securities Exchange policies.



The company stated that net proceeds will be used for commercialization and expansion of its QSE Platform and for general working capital purposes.
