Q32 Bio launches $200M stock offering to fund clinical trials

Q32 Bio Inc. (Nasdaq: QTTB), a clinical-stage biotechnology company based in Waltham, Mass., announced a proposed underwritten public offering of $200 million in shares of common stock and pre-funded warrants, according to a press release issued July 13, 2026.



The company also intends to grant underwriters a 30-day option to purchase up to an additional $30 million in shares at the public offering price, less underwriting discounts and commissions. All shares and pre-funded warrants will be sold by Q32 Bio.



Morgan Stanley, Jefferies, and Cantor are acting as joint book-running managers for the offering. Oppenheimer & Co. is serving as a book-running manager, and H.C. Wainwright & Co. is acting as lead manager.



Q32 Bio stated it intends to use net proceeds for working capital, including research, clinical development, and commercialization efforts, with a focus on advancing its drug candidate bempikibart into future clinical trials. Bempikibart is a fully human anti-IL-7Rα antibody currently in a Phase 2 program for the treatment of alopecia areata.



The offering is being made pursuant to a shelf registration statement on Form S-3 filed with the Securities and Exchange Commission on June 25, 2026, and declared effective on July 13, 2026. The company noted the offering remains subject to market and other conditions, with no assurance provided as to its completion or final terms.
