Prologis prices $2.1 billion common stock offering

Prologis, Inc. (NYSE: PLD) has priced an underwritten public offering of 15,000,000 shares of its common stock, with aggregate gross proceeds expected to reach approximately $2.1 billion before transaction expenses, according to a press release from the company.
The offering is expected to close on August 5, 2026, subject to customary closing conditions. J.P. Morgan and BofA Securities are acting as underwriters for the offering.
Prologis has granted the underwriters a 30-day option to purchase up to an additional 2,250,000 shares solely to cover overallotments.
The company stated it intends to contribute the net proceeds to its operating partnership for general corporate purposes, including to fund potential acquisitions such as SEGRO plc. The company noted there is no assurance the SEGRO combination will be completed on the proposed terms, on the anticipated timeline, or at all.
The shares are being offered pursuant to an effective shelf registration statement filed with the Securities and Exchange Commission.
