PreveCeutical closes third tranche, raising $200,000 in placement
PreveCeutical Medical Inc. (CSE: PREV) (OTCQB: PRVCF) (FSE: 18H0) has closed the third tranche of its non-brokered private placement, issuing 8,000,000 units at $0.025 per unit for gross proceeds of $200,000, according to a company statement.
The third tranche brings the aggregate proceeds from all three tranches to $785,000. The initial tranche, closed May 12, 2026, raised $340,000 through 13,600,000 units, while the second tranche, closed June 12, 2026, raised $245,000 through 9,800,000 units.
Each unit consists of one common share and one-half of a share purchase warrant. Each whole warrant allows the holder to purchase one additional share at $0.05 for two years from the second tranche closing, subject to an acceleration right if the daily closing share price reaches $0.10 or more on the Canadian Securities Exchange for at least ten consecutive trading days.
In connection with the third tranche, the company paid an advisory commission fee of $19,600 to one eligible finder and issued 784,000 advisory commission warrants, exercisable at $0.05 per share for two years from the second tranche closing.
The company said it intends to use the third tranche proceeds to pay outstanding payables, cover operating expenses, and for general working capital. All securities issued are subject to a hold period expiring four months and one day after the third tranche closing.
PreveCeutical said it plans to close additional tranches for the remainder of the offering within the next four weeks.
