Premier American Uranium upsizes private placement to C$13 million

Premier American Uranium Inc. (TSXV:PUR)(OTCQB: PAUIF) announced it has increased its private placement offering to C$13 million from an undisclosed previous amount due to strong investor demand.



The company entered into an amended agreement with Red Cloud Securities Inc. as lead underwriter for the sale of 14,444,444 units at C$0.90 per unit. Each unit consists of one common share and one-half of one common share purchase warrant. The warrants allow holders to purchase additional shares at C$1.26 for 36 months after closing.



Underwriters have an option to purchase up to 2,222,222 additional units for approximately C$2 million in additional proceeds, exercisable up to 48 hours before closing.



Premier American Uranium intends to use proceeds for exploration and advancement of uranium projects in New Mexico and Wyoming, as well as working capital and general corporate purposes.



The offering will be conducted under Canada's listed issuer financing exemption in all provinces except Quebec, with securities expected to be immediately tradeable. A portion will also be offered in the United States through private placement exemptions and in other jurisdictions outside Canada.



The offering is expected to close on or about February 3, 2026, subject to regulatory approvals including TSX Venture Exchange approval.



The company focuses on uranium projects across five U.S. uranium districts, with active programs in New Mexico's Grants Mineral Belt and Wyoming's Great Divide and Powder River Basins.
